Business Valuation

Focus

The latest installment of CFLR’s Family Law Experts Series brings together top-notch professionals to discuss issues related to complex Business Valuation in family law litigation. The course will demonstrate how to present a business valuation report at trial and how to challenge it. Each panel will include a respected business valuation trial attorney, a seasoned forensic accountant, and a judicial officer, ensuring that the business valuation perspective will be viewed from all sides.

This program will address three hypotheticals, with one day for each model business: a consulting business, a retail business and a professional practice. Attendees will observe direct and cross-examination of expert witnesses and rulings by the court.

Course Highlights

THREE HYPOTHETICALS

 

• A consulting business started prior to marriage and diversified during the marriage
• A retail business opened during marriage with diversification after separation into online sales
• A medical practice started during marriage, and a legal practice opened prior to marriage

 

THE PROGRAM WILL ADDRESS CERTAIN ISSUES RELATED TO BUSINESS VALUATION, SUCH AS:

 

• Valuation at date of trial or date of separation
Pereira/Van Camp methods and the use of a blended approach for valuation at different times based on operation of the business
• Are alternative valuation theories permitted by case law?

 


 

• How should the court make a valuation consistent with the Finby holding based on contractual rights to receive money secured by a loan forgiveness program
• Effect of buyout agreements and other shareholder agreements
• Use of compensation experts in business valuation
• Defending and challenging capitalization rates
• Use of other experts in business valuation, such as equipment appraisers or valuing leasehold obligations
• Obtaining, enforcing and defending against covenants not to compete
• Fiduciary duty responsibilities in operation of the business after separation
• Litigating fiduciary duty issues as part of business valuation

 

 

Course Materials
Enrollees will receive a complete version of all slides used by the presenters, plus other supplemental materials. You have the option of receiving either printed course materials OR course materials on a USB drive, which allows you to save them to your hard drive and take notes directly next to the material covered. 18 HOURS MCLE/Specialization Credit: Approval of specialization credit in Family Law has been granted by the California Board of Legal Specialization, and approval of MCLE credit for this activity has been granted by the State Bar of California in the amount of 18 hours, including 1 hour of Legal Ethics.
